Terms of Service – Clear Water Distilling Wholesale

1. Eligibility and Account Requirements

This site is for licensed businesses purchasing alcohol products for resale or service.

To place an order, you must provide a valid and current alcohol license (state-issued) for the jurisdiction in which you operate.

We reserve the right to verify, suspend, or refuse service to any account that does not provide adequate proof of licensing or compliance with local, state, or federal alcohol regulations.
2. Orders and Acceptance

Orders may be placed through our B2B portal or directly with a sales representative.

All orders are subject to acceptance by Clear Water Distilling. Confirmation of receipt does not guarantee acceptance.

We may decline or cancel orders at our discretion, particularly if compliance requirements are not met.
3. Payment Terms

Standard Accounts: Payment is due Net 7 (seven days) from the date of invoice.

Approved Credit Accounts: Payment is due Net 30 (thirty days) from the date of invoice.

Late payments may be subject to interest at the maximum rate allowed by law and/or suspension of ordering privileges.

We reserve the right to revoke Net 30 terms at any time based on payment history or credit standing.
4. Shipping and Delivery

Title and risk of loss transfer to the buyer upon delivery to the carrier.

Shipping costs and applicable taxes will be added to each invoice unless otherwise agreed in writing.

Delivery times are estimates and not guaranteed. Delays caused by carriers, weather, or regulatory checks are not our responsibility.
5. Returns and Refunds

Due to alcohol regulations, all sales are final. No returns or exchanges are permitted once the order has been delivered, except for product damaged in transit or incorrect shipments.

Claims for damaged or incorrect product must be submitted in writing within 48 hours of receipt.
6. Compliance with Laws

Buyer agrees to comply with all applicable federal, state, and local laws regarding the purchase, storage, resale, and distribution of alcohol.

Buyer is solely responsible for ensuring that their alcohol license remains current and valid. Orders placed without a valid license may be cancelled.
7. Warranties and Disclaimers

All products are provided “as is” without warranties, express or implied, except as required by law.

We disclaim any liability for indirect, incidental, or consequential damages arising from the use or resale of our products.
8. Limitation of Liability

Our liability for any claim relating to products purchased under this agreement is limited to the amount paid for the specific order giving rise to the claim.
9. Governing Law and Dispute Resolution
-
These Terms shall be governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Any disputes will be resolved in the courts of Utah County, Utah.
10. Amendments
-
We may update these Terms of Service at any time. Continued ordering constitutes acceptance of the updated terms.
